The vocabulary, in plain English.
You don't need a law degree to form an LLC. Here are the terms you'll see in the rest of the page.
- What's an LLC?
- A Limited Liability Company is a US business structure that legally separates you from your business. If the business is sued or owes money, your personal savings and home are protected.
- What's an EIN?
- A Federal Tax ID for your LLC, issued by the IRS. You need one to open a US bank account, hire staff, or file taxes. We obtain it for you on Standard and Premium, with no separate IRS fee.
- What's a registered agent?
- A US-based agent at a street address in your formation state who receives legal mail on behalf of your LLC. Every state requires one. We include the first year on Standard and Premium.
- Do I owe US taxes if I live abroad?
- If you're a non-US person with a single-member LLC and no US source income, you typically file an informational Form 5472 and pro-forma 1120 each year, with no tax due. We hand off to a partner CPA if you'd like help filing.

A note from our founder
“I built Tierro because forming my last company took four hours of paralegal phone tag and cost over $600 in upsells I did not understand. We charge a flat price, file with a licensed US partner, and tell you exactly what is happening in your dashboard.”
